Business Evaluation and Planning
Business Evaluation and Planning includes various projects, to include operational audits, management audits, operational analysis, organizational analysis and structuring, business plan development and documentation, financial analysis and planning, cash flow analysis and planning, profitability studies, departmentalization, pricing and overhead application, job cost system review, and information system review. The purpose of this these types of projects is to understand and improve upon the effectiveness of management in achieving it's goals.
Strategic planning includes all the necessary information gathering and analysis which is integral to the process, to include analysis of the organization's strengths, weaknesses, opportunities, and threats (SWOT analysis), goal-setting, mission statement development, and plan documentation. A complete strategic plan must deal with the issues of finance, organization, systems, capital requirements, continuity, and markets and marketing.
Mergers and Acquisitions
Representation of both buyers and sellers requires an understanding of the business and industry. Projects include feasibility studies as well as representation. Seller services are designed to achieve the objectives of the owner, and require getting the right information to the right people, and doing so discreetly, which requires knowledge of both the selling company and of the acquisition marketplace. Seller representation includes advice on the current acquisition climate, sale feasibility, preparation of the acquisition descriptive memorandum, contact management with potential buyers, negotiation strategy and management, deal structuring, and review of the required contractual documents. Buyer representation includes industry analysis, establishment of reasonable acquisition criteria, development of acquisition strategy, identifying sellers and making contact with them, evaluation of candidate firms, and conduct of negotiations through closing of the transaction. A thorough knowledge of applicable tax laws and their effect on transaction structure is maintained and used.
Business Continuity and Management Succession Planning
Continuity planning is one of the most important issues to be addressed by the owners of any closely-held business. It involves determination of who will run and own the company beyond the current ownership and management. Tough questions must answered, such as:
How can current shareholders get their equity out?
Who will be stockholders in the future?
Are management successors in place and ready?
What are the tax consequences of the plan?
What will be the tax impact on the company and shareholders?
What will be the legal impact?
How will the bonding and insurance program be affected?
How does the plan integrate with estate plans of owners?
A feasible continuity plan must be coordinated from several different perspectives, and the objectives and goals of the involved constituencies must be considered. Effective planning must be done by someone knowledgeable in family dynamics, organization, finance, equity transfer techniques, and tax and legal matters.
